02General Provisions

These Terms of Use ("Terms") govern access to and use of the Nercy platform, owned by Individual Entrepreneur Dmitrii Poliakov (Tax ID 305811342, registered address: Georgia, Tbilisi, Petre Iberi street 11, ap. 75).

By using the platform in any form, you confirm that you have read these Terms and agree to comply with them. If you do not agree, please discontinue use of the service.


03Platform Description

Nercy is a SaaS platform for event organizers that automates ticket sales using artificial intelligence. Buyers interact with an AI Agent, not a human operator. The AI Agent operates on the basis of information provided by the Organizer; while designed to provide accurate responses, it may occasionally make errors or provide incomplete information.

At any point during the conversation, a Buyer may request assistance from a human operator. The Platform does not use Buyer conversation data to train or fine-tune AI models.

04Working with Organizers

Event organizers work with Nercy under an individual agreement concluded with IE Dmitrii Poliakov. Public self-registration on the platform is not currently available.

Eligibility: Organizers must be 18 years of age or older and have full legal capacity to enter into binding agreements. By concluding an agreement with Nercy, the Organizer confirms compliance with this requirement.

Organizer responsibility: the Organizer bears full responsibility for the accuracy of the event data provided — name, date, venue, ticket price and other terms. Nercy configures the AI Agent based on this data. The Platform is not responsible for consequences arising from the Organizer providing inaccurate information.

05Payment and Settlements

Ticket payments by Buyers are made via a link from the acquiring bank in a secure mode. Nercy does not store bank card data. No service fee is charged to the Buyer — the ticket price equals the face value set by the Organizer.

Platform fee: Nercy charges the Organizer a commission — a percentage of each ticket sold. The specific percentage is defined in the individual agreement.

Revenue payout to the Organizer is made in US dollars (USD), net of the platform commission, starting from the beginning of the calendar week following the date of the Event. The Organizer bears all currency conversion costs and risks.

Liquidation: in the event of termination of the Operator's business activity, all outstanding balances owed to Organizers shall be paid within the following calendar week.


06Ticket Delivery

At the start of each session, the AI Agent requests a declaration of age. Buyers must declare they are 18 years of age or older. If a minor is identified during a session, the order is cancelled and all funds are returned in full.

After successful payment, an electronic Ticket with a unique QR code is delivered to the Buyer in the messenger or social network through which they interacted with the AI Agent. In most cases delivery is nearly instantaneous; in some situations delivery may take up to 15 minutes.

Physical delivery of tickets is not provided. All documents are issued exclusively in electronic form.

Technical failure procedure: if a Ticket has not been delivered within 15 minutes of a confirmed payment, the Buyer should contact support at wospdp13@gmail.com with the transaction reference. Nercy shall investigate and, within 2 business hours, either deliver the Ticket or initiate a full refund. A confirmed and paid order shall never result in both non-delivery and non-refund.


07Refunds

Ticket refunds are processed in accordance with the policy of the specific event Organizer. In the event of cancellation or postponement of an Event due to the Organizer's fault, Nercy facilitates the refund of the face value of the Ticket to the Buyer's bank card within 5–14 business days.

Refunds for platform services to Organizers are available in cases provided for by the individual agreement — in particular, in the event of critical technical failures on the Nercy side.

Response timeline: Nercy shall acknowledge a refund request within 3 business days of receipt and communicate the outcome within 7 business days. The actual refund to the card is processed within 5–14 business days from approval.

08Personal Data

In the course of platform operation, Nercy may collect and process user data in accordance with the Privacy Policy.

All personal data is used exclusively to ensure platform operation. Transfer of data to third parties is strictly prohibited and is not carried out under any circumstances, except as expressly provided by Georgian law or as necessary to enable Buyers to exercise their right to attend the Event.

09Platform Liability

Nercy assumes the following obligations:

Nercy bears no responsibility whatsoever for events occurring directly at the Event itself: its organisation, safety, quality, conformity with the stated format, or any other circumstances arising during or in connection with the Event. Full responsibility to participants for the Event itself rests solely with the Organizer.

Limitation of liability: Nercy's total aggregate liability to any party for any claim arising under these Terms shall not exceed the greater of: (a) the total fees paid by the claimant to Nercy in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

Force majeure: Nercy is not liable for disruptions caused by events beyond its reasonable control, including natural disasters, acts of war, government actions, or continuous outages of third-party infrastructure (Telegram, Meta, payment networks) lasting more than 24 consecutive hours. Isolated connectivity issues and routine third-party downtime do not constitute force majeure.

Scheduled maintenance: the Platform reserves a maintenance window of 1 hour per week — Sunday 19:00–20:00 Tbilisi time (UTC+4). During this window the service may be temporarily unavailable. This does not constitute a service failure or force majeure event.


10Prohibited Use

When using the platform, the following are prohibited:


11Suspension and Termination

Nercy reserves the right to suspend or terminate an Organizer's access to the Platform in the following cases:

Procedure: Nercy shall issue a written notice to the Organizer's registered email address specifying the violation. The Organizer must remedy the violation and remove the offending content by 23:59 Tbilisi time on the day the notice is issued. If the violation is not remedied within this period, Nercy may immediately suspend access without further notice.

Upon termination, Nercy shall: (a) retain its accrued commission; (b) transfer all remaining Organizer funds within 5 business days; (c) provide the Organizer with Buyer order data (name, contact, ticket reference) solely to enable Buyers to exercise their right to attend the Event, in accordance with applicable data protection law.


12Applicable Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Georgia.

Pre-dispute procedure: before initiating any legal proceedings, the claiming party shall send a written notice to the other party's registered email address describing the claim and the relief sought. The receiving party shall respond within 10 business days. If no resolution is reached, the dispute shall be submitted to the competent court of Tbilisi, Georgia.

For users who are consumers residing in the European Union, the mandatory consumer protection provisions of their country of residence apply regardless of the choice of Georgian law.


13Amendments

Nercy reserves the right to amend these Terms. The current version is always available on this page. Material changes — including those affecting payment conditions, user rights or data processing — shall be communicated to Organizers at least 30 calendar days before taking effect via the registered email address, and to Buyers through the interaction channel.

If a user does not accept the updated Terms, they may discontinue use of the Platform before the effective date without penalty. Continued use after the effective date constitutes acceptance of the updated Terms.
